Standard Notices 


  1. Notices
    1. Method of Notice. The parties will give all notices and communications between the parties in writing by (i) personal delivery, (ii) a nationally-recognized, next-day courier service, (iii) first-class registered or certified mail, postage prepaid to the address that a party has notified to be that party's address for the purposes of this section.
    2. Receipt of Notice. A notice given under this agreement will be effective on
      1. the other party's receipt of it, or
      2. if mailed, the earlier of the other party's receipt of it and the fifth business day after mailing it.

  1. Notices
    1. Form of Notice. All notices required under these bylaws will be in writing, sent by mail, postage pre-paid.
    2. Effectiveness of Notice. Notices will be deemed effective when sent.
    3. Electronic Notice
      1. To Directors. Notice to directors may also be given by telephone or electronically, to the extent permitted by the Laws of [GOVERNING JURISDICTION].
      2. To Shareholders. If the specific shareholder consents in writing, notice to shareholders may also be given electronically, to the extent permitted by the Laws of [GOVERNING JURISDICTION].
    4. Waiver. A person may waive any notice they are required to receive under these bylaws or the Certificate of Incorporation by a signed writing.
