The software analyzes source contracts and identifies all component clauses. It organizes the clauses into an outline or table of contents. For each clause the software determines whether the clause is standard, negotiated, transaction-specific, or deal-specific, based on how frequently the clause appears in the sample set and the consistency of the language used in each clause example.
ContractStandards’ Public Library is a highly efficient platform built on a Unified Clause Library. Each clause has only one record in the database and can be linked to multiple templates. Each clause may have alternative language appropriate for different contract types or jurisdictional variations. Updating the single clause instance will automatically update every template utilizing that clause, saving significant time and ensuring consistency across all templates.
Once all clause building blocks have been identified and organized, the last step is to simplify the contract language and streamline contract terms. ContractStandards is an advocate of the No Legalese movement and has pioneered the use of style guides to make contracts easily readable by all.
