Daily Clause--No Other Representations

The No Other Representations clause states a party makes no additional disclosures or promises other than those expressly made in the agreement. It serves to limit, or place boundaries around, the scope of a party’s representations and warranties. The clause is found in most license agreements and about 40% of acquisition agreements.
