1. Perform Actions

1.1. Best Efforts. Each Party will use its best efforts to take all actions and to do all things necessary, proper, or advisable to consummate, make effective, and comply with all of the terms of this Agreement.

2. Information and Notification

2.1. Access to Information. Between the date of this Agreement and the Closing Date, Seller will permit representatives of Buyer (including legal counsel and accountants) to have full access at all reasonable times, and in a manner so as not to interfere with the normal business operations,  to all Seller’s premises, properties, personnel, books, records, contracts, and documents.

2.2. Public Announcements. No party shall make any press release or other announcement with respect to the subject matter of this Agreement without the consent of the other party.

2.7. Notification of Certain Events. Each Party shall give prompt written notice to the other parties of:

(a) the occurrence, or failure to occur, of any [known] event which occurrence or failure would be likely to cause any representation or warranty contained in this Agreement to be untrue or inaccurate in any material respect [at any time from the Agreement Date through the Closing Date];

(b) any [known] failure of a Party to comply with, perform or satisfy in any material respect any covenant or comply with, perform or satisfy any condition contained in this Agreement to be complied with, performed or satisfied by either such party; or

(c) any change, event, condition or development that has had or would reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect.
